Normally, an IOU is basically: _“Bro, I owe you $10,000. I’ll pay you later.”_ But in your example, the company says: _“We owe you something valuable, but instead of promising to pay you money, we’re promising you a piece of the company or a future company benefit.”_

So imagine you do work for a tiny company that has almost no cash. The company basically hands you a fancy piece of paper saying:

> “We owe you. We can’t pay you properly today, so here’s a contractual right to receive stock/options under these agreed conditions.”

That **stock option is functioning economically like the IOU**, because you're accepting something that represents a future claim rather than receiving cash immediately.

Now crank the circus music up: the IOU doesn't necessarily have to be _money_. It could be a **product, service, discount, future credit, equity, or some other agreed benefit**.

For example, a startup could say: _“We owe you $10,000 worth of consulting fees. Instead of paying $10,000 cash, we'll give you a contractual right to receive 10,000 units of our product later.”_ That's essentially a **private, non-cash IOU**.

The important distinction is that an IOU is fundamentally about an **obligation to deliver something in the future**. What that “something” is—cash, shares, products, services, credits, etc.—depends on the contract.

And if it's **stock options**, that's not literally the same legal thing as a normal IOU: an option is a specific contractual right with conditions, expiration, exercise terms, vesting, and potentially no guaranteed value.

It is MLM scam and bullshit.
IT is like 100000000 people owning your home. If everyone owns it, then noone has rights to it. But if someone owns i.e. full room of your house he can keep everyone else away from his room, because the room is his. And if someone owns over 50% of the house, then "democratically" he can decide about everyone else in the home despite being just one person, while the rest is many. So why would anyone put himself into owning only 51% of the house? Well because he does not want to lose money on full house, so he looks for suckers and losers to "invest" for him in the rest of the house, that they cannot even live in for the idea that they maybe in the future will be able to live in the shed the main "shareholder/houseowner" will build for them.
And the most MLM and scammy part about it is that even if you have money to buy out the main houseowner, you cannot if he does not want to sell despite his house constantly being on the market and shown for sale.
And the MLM part of it is that the ones who bought bigger parts of the house earlier, are in better position than those who came later despite still not living there and not having any say about how the house should be aranged. And when neighbourhood goes niggery and value of the house drops, then only those who bought later are losing money, the main guy, still owns the house and does not care.
PS. Buying stock is not investing anything unless you buy IPO. If you buy stock on the market it is purely speculation. Stop calling it investment. It is the same level of investing as buying Funkopops. Just buying stuff and wishing its price will raise. That's not investment. Investment is planned analyzis where your money goes straight to the owner as investor money to work for company you invested in. If you buy stock from other shareholder there is no investment involved, company does not care about you swapping shares. It is pure speculation.
