Because Warner Bros Discovery will end up going out of business without the merger. With the Paramount Merger, there is a chance of things NOT collapsing. The jobs lost via merger are much smaller compared to the job loss from an actual collapse.

See also Disney buying Fox.
>>
>>155561268
Exactly. Yes, people at WB will lose jobs and projects will get cancelled but they can always find new work and new stuff will get developed.

>>
>>155561161
Truth to be told, I can't fully understand what are the consequences of this.
I mean I get the antimonopoly rules.
I get paramount gave a massive amount of money and taking radical actions to block Netflix from buying warner.
But warner is on a massive debt, and right now are just floating thanks to the brand name alone.
So I dont get why Paramount want to use this money, making themselves in danger, for buying an already sinking ship.

People here just like to simplify this case in right vs left or liberals vs jews, but im more interested in understanding the business side of things and for real how the fuck this is gonna be good for paramount, when both Viacom and warner need a massive amount of money to solve their debt.
The debt is even plausible to pay?
I agreen and the stuff about how stupid is taking any side, both are horrendous sides for different reasons.
>>
>>155561318
Ok. I still work a job, I still get paid, nukes aren't landing on my doorstep. There will be ways to work around what you're talking about where I'm not affected because I don't work in the industry. I have too much shit in my personal life to worry about instead of holding the world on my shoulders like Atlas.
>>
>>155561303
>Because Warner Bros Discovery will end up going out of business without the merger
No they were pretty sustainable reducing their far lower debt total and building up towards a bigger slate. They were not threatened with going under
If anything this merger will actually potentially cause both entities to collapse under debt and be sold off in chunks

Not even remotely true. Warner Bros wants to sell itself because it isn't sustainable. Sounds like you're just mad that CNN isn't going to be owned by Netflix.
>>
>>155561539
It will be even worse than it is now
>>
>>155561570
>Warner Bros wants to sell itself because it isn't sustainable
Warner Bros did not even want to sell. They wanted to split off its cable business and disposed the remaining debt into it so they were clean.
They are required to consider offers due to financial duality to shareholders and Paramount’s was so retardedly good for shareholders they were required to take it.
>Sounds like you're just mad that CNN isn't going to be owned by Netflix
I’m not 80 so I and no one here cares about fucking CNN lmao. Ellison isn’t even political outside being Zionist, they play both sides at the appropriate one if it advances their business. Different flavor Zionist politics will exist regardless so it is not anything I care about
I am mad we are losing a major film studio for this merger that will have 80 billion in debt and fail in 5 years, and then even when they are sold off to a Netflix or a tech company we still lost a major film studio and potential content we would get. Let alone the insane job loss they will soon have

Who gives a shit? WB was gonna spin CNN off as a separate company with the other cable channels, Netflix was never going to get CNN. Paramount's deal was they were gonna buy everything but if they only wanted CNN like people claimed, they could've just waited for the split and then buy it anyway.

The real problem is Skydance just bought Paramount and then they're immediately trying to get WB? We don't even know how well Skydance would run Paramount.

I hate retards who speak on entertainment news without following it. WB was a house flipping project for Discovery. They came in reduced the debt, cut the fat, took a shit ton of write offs, licensed everything they could(Tubi/Amazon/Hulu) and made only projects they thought would be profitable. They are way healthier than Paramount, but after having 2025 be there best year ever Netflix and Paramount wanted to grab them before they got more expensive. We should be clear about one thing.

The "retardedly good for shareholders" part is that is to cash the fuck out and dump the shares to make a boatload right before the deal is made.
This is why Zaslav was so fucking averse to it. There are devils in the details and it's not because he cares about the workers or the quality of the films. When it comes to a guy like him, the only thing they like more than money is taking credit.

Don't listen to /co/; a majority of the people posting here have no financial sense or understanding. These are the same people that claimed Disney was going to go bankrupt and be forced to sell off everything (despite not understanding how massive companies operate). There aren't any consequences to this. It's a media company buying another media company. Every company operates on massive debt, that's not an issue in the slightest.

It's good for Paramount because it gives them more items for streaming and ownership of more IPs, which allows for more licensing, etc.

Is the debt plausible to pay? Absolutely. It's only $47B between the 2 companies. $47B is a drop in the bucket for what they actually make.
>>
>>155563078
>In the case of WB and Paramount, it didn't asked anything.
Not true. The Saudi investors (yes, Saudis were/are involved) lost all their voting power. Nobody seems to point out that a bunch of middle eastern countries are about to own almost half of Warner Bros after this deal while having ZERO control over what happens with the company.
>>
>>155562760
No companies in the United States should support Israel, woke or not. Quite frankly, if you removed Israel supporters from all positions of power, the woke shit would go away since the goal of it is to divide Americans while Israel steals their wealth.
>>
>>155561814
Spoken like a faggot bit actually following the news

Netflix only wanted Warner Bros studio and the entire back catalog, DC and the IPs and Zazlav keeps Discovery and CNN.

Paramount wanted everything but especially CNN

Zazlav could have ended things day one of the hostile takeover by selling CNN to Paramount for a buck. But he needs CNN to shill for the DNC come 2026 and 2028. So he didn't and got hostile took over
>>
>>155563078
More importantly, Netflix's offer involved spinning CNN off along with all the other cable channels to begin with.

>>155563213
No. Anon. There's an acceptable debt to profit ratio that this surpasses and it involves both already being in debt.
The combined existing debt of the two is already about 95 billion.

Also where the fuck did you hear that 47 billion is nothing to these two? 47 billion is worth 3 Paramounts and half a WB by their actual evaluated worth.
>>
>>155561833

>>
>>155563213
>It's only $47B between the 2 companies
It’s 80+ billion debt after the loans for the acquisition, I have seen up to 87 billion thrown around. The 47 number is equity financing for the remainder of the acquisition.
Warner did extreme struggles to get their debt down 20 billion, this company cannot simply survive on close to 90 billion in debt
>>
>>155563371
>He-man
That was Amazon, not Warner. At least use real examples like Supergirl.
>>
>>155563348
>>155563422
Before the merger, Paramount and Warner Bros. Discovery have about $47 billion in debt between them. After the merger, that debt is expected to be around $79 billion because Paramount is taking on more debt to pay for the deal. Paramount has already laid out a roadmap for the merger and what they expect the new company to make, including around $69 billion a year in revenue, about $18 billion in EBITDA, and more than $10 billion a year in free cash flow by 2030.

So yeah, the new company would be heavily leveraged at first, but Paramount's plan is to use the huge amount of money the combined company makes to slowly bring that debt down. They don't have to pay all $79 billion off right away. If the company keeps growing its earnings and paying down debt, the leverage will get lower and the debt will become a smaller part of the overall business. Basically, they are taking on a lot of debt now with the expectation that the bigger combined company will generate enough money to handle it and eventually reduce it.

They're not really. Plenty of consumers love the WB brand and will totally be all over it for years to come if Paramount manages things right. They've had plenty of good shows on P+ and if they can get right people in key positions over franchises (Blade Runner, Matrix, DC properties, Harry Potter, LoTR, etc). Then you have animation with Adult Swim/Toonami, bring in the Nickelodeon stuff, get there gaming divisions actually producing worthwhile content, etc, and pull publishing rights from IDW/Dark Horse to DC.

Easy for all the pieces to fall into place, honestly. But it's a wait and see type situation: They'll either become a juggernaut or flop.

Yeah, I wouldn't say I like this outcome but I think almost any buyer is better than Netflix.

Netflix has almost zero interest in anything old, and less than zero interest in physical media. Paramount is at least willing to license their old stuff to Criterion and the like.

every time there's a merger, virtually every single thing currently in production gets shitcanned, because they need a quick tax writeoff bump, and they don't want to bother vetting everything for the new regime's far right agenda.

this will be like every writer's strike, times five. If you like tv, sucks for you.

>>155561244
>how does this effect my life?

let me outline what the future is going to be now.

you will get maybe 2 new shows a year, total, because all new greenlights will need about 40 different sign-offs to get anywhere, and will be ran through a dozen different executive boards to maximize their possible income value, the rest will all be made just to be cancelled a month from premiere for maximum tax writeoffs.

every single good writer, actor, musician, etc will now get all their work fucked with or buried forever, or just quit altogether because nobody will fund even guaranteed hits from emmy winners.

everything else will be remakes, sequels, and spin-offs.

If, by some insane miracle, anything gets a second season, since it only gets it after they crunch the premiere numbers, you'll likely have to wait 2-5 years between seasons, and each will be extremely cheap and 6-8 episodes maximum and binge-dumped with zero advertisement. Don't forget, they'll all have to get by a gauntlet of executives to wring out anything that could possibly be problematic to the regime.

if you like watching tv shows or cartoons, just be prepared to never see any of them again.

NTA bur
It's not that WB isn't a big company with IPs to rival Disney. It's that Disney is much better at making something "the brand" than WB has ever been.

When you look at Tolkien, you think Tolkien as a brand. DC? DC as a brand
Look at how quickly Disney absolutely fucking absorbed Star Wars, MARVEL, etc to the point we talk about them as "Disney" properties.
They were in the theme parks, they got crossovers with various Disney shows.
The second they got FOX, Simpsons became a primary offering.
If it's not rated R, they put it in mouse ears to make sure it's part of your nostalgic Disney childhood that they obligate you to pass on to your children. This is literally their business strategy. You don't think of individual creators or artists, you remember what "Disney" gave you as a child and you go for it.

But even the TV-MA stuff gets "haha we're owned by Disney which you now see as a massive disgusting corporate conglomerate but have a soft spot for whether you're willing to admit it or not because they made your childhood!"

WB doesn't have that kind of unified branding. That was what I imagine Zaslav wanted out of stuff like Multiversus and Space Jam 2, but didn't know how to accomplish.

Paramount tried it when they tried advertising streaming and creating kid centric Star Trek and adult animated star Trek but both have the same problem.

Disney does it by gearing it all to a younger age demographic who becomes and older one. You can't do that shit with Goodfellas, Looney Tunes, edgy pg-13 Batman, Steven Universe and Clockwork Orange. Too buckshotted. Parents don't want their kids seeing certain characters.

WB, especially back in the day, focused solely on making good movies, spread across demographics, you can't make meaningful crossover between the Music Man and the Terminator.

That's what Ellison doesn't get. The brand of Disney is meticulously designed
>>
>>155570129
>you will get maybe 2 new shows a year,
I find this preferable to to covid-era entertainment bloat where there was so much crap coming out all the time, none of it interesting.
>>
>>155570539
>It's that Disney is much better at making something "the brand" than WB has ever been
It’s that Disney has its own resort parks while WB does not and just licenses their IPs out
Disney parks constitute over 60% of the company’s entire income now. It is the only reason it has not been bought out by a larger company
>>
>>155570539
It doesn't help when WB had a stupid policy of any crossover resulting in licensing fees being paid to other divisions.

On paper, it meant a "profit", even though it was just money moving around.

In reality, it meant deep divisions between departments and bitter rivalries because if your department wasn't profitable, it would be axed.
>>
>>155570555
There's all sorts of WB IP displayed at Six Flags which has more locations than Disney.
>>
>>155570621
Yeah, but WB doesn't own Six Flags
>>
>>155570659
It's not that much of a distinction. They don't get money from ticket sales, but they do collect licensing fees and they keep their IP in the consciousness of the people who go there.

Enjoy getting fucked in the ass by your globohomo overlords I guess.

They get 4 million a year and then 12% of their character merchandise sales.
Which you simply cannot compare to a company that owns everything and makes around 10 billion in income profit yearly

At least we can all agree that it's really funny how Netflix had the rug pulled out from under them after making a whole big flashy PR/ad campaign around their buyout before it could actually go through. What a bunch of smug cocksuckers.
>>
>>155567289
This right here sums it up for me as well. I want physical media and Netflix doesn't fucking care about it. They had to be dragged kicking and screaming to release the 2 or 3 titles they finally allowed to be on bluray... and that was for their own IP's. They give zero fucks about the rest.

Disney sits on The Simpsons for fucks sake. Fox media was shelved for spite.

At least Paramount will be financially inclined to produce as much physical media for WB as they can manage.
>>
>>155570539
This is a massive double-edged sword though.

If the public turns on an IP, you can just shelve it for a few years... but if they turn on "The Brand," there is little to no recourse. It's the difference between Harry Potter taking a hit for a year or two versus people just hating on Disney outright. WB can quietly shelve HP, but Disney can't shelve themselves
>>

Not true, Warner Bros does have branding, and Warner Bros is much better at making something "the brand" than Disney has ever been.

If it's not rated R, they put it in wabbit ears to make sure it's part of your nostalgic Warner Bros childhood that they obligate you to pass on to your children. This is literally their business strategy. You do think of individual creators and artists such as Tex Avery, Bob Clampett, Frank Tashlin, Bob McKimson, Chuck Jones, Art Davis and Friz Freleng, you remember what "Warner Bros" gave you as a child and you go for it.

Disney doesn't have that kind of unified branding (not since Eisner left the company). That was what I imagine Josh D'Amaro wanted out of stuff like Kingdom Hearts (after Kingdom Hearts 2) and Wish, but didn't know how to accomplish.

Disney tried it when they tried advertising streaming and creating X-Men'97 and Your Friendly Neighborhood Spider-Man but both have the same problem.

Warner Bros does it by gearing it all to a younger age demographic who becomes and older one. You can't do that shit with The Simpsons (which should've died out by season 8 anyway), Family Guy, King of the Hill, Futurama, Bob's Burgers and American Dad. Too buckshotted. Parents don't want their kids seeing certain characters.

Disney, especially back in the day, focused solely on making good movies while treating everything else as a after thought, spread across demographics, you can't make meaningful crossover between Splash and Tron.

That's what Ellison doesn't get. The brand of Warner Bros is meticulously designed.
>>
>>155570555
It doesn't matter, the brand is enough to carry them. That is something that WB had for like 5 minutes in the 90's when they are Time Warner. Then AOL buy them and butt fucked the whole company and culture forever. Like you can trace all their problems to that exactly years.
>>
>>155571404
>At least Paramount will be financially inclined to produce as much physical media for WB as they can manage
Why? Media collection is declining every year and manufacturing is fucked with the supply chains of the oil shock of the Iran war, plus the retarded tariffs of Trump. The best case scenario is putting some sort of digital archive for some old stuff.
>>
>>155572019
They are a money printer for doing nothing. They own the rights already and for a few cents for disc creation and a few dollars for residues/distribution logistics you can sell it for $40-$60
Any added costs for restoration Warner Archive does can also be used for streaming and offset if the tv rights are sold to other services.
If they don’t care something is only on stream it’s an easy revenue generator even if physical collectors are dwindling
>>
>>155560344
Man, this shit did not age well.
>>
>>155571519
Disney came very close to that danger in this decade. It was lucky for them that Inside Out 2, Deadpool and Wolverine, and Toy Story 5 did as well as they did, but this brings in the possible problem of relying on sequels
>>
>>155572252
They are not a money print because they are limited to the people that have a player device that is many, many times smaller that people with access to internet and a tablet or a phone. Also there is the fact of the convenience that people would choose always over.
>>
>>155572561
Sure, that's why physical media will never again sell like it did in the 2000s. You're not going to see a show get saved from cancellation because it was so popular on DVD like Family Guy.

But people still do collect physical media and there's probably a slight upturn recently since 4K discs were introduced. If you make a movie you can get some extra money by releasing it on physical media, not enough to make a flop profitable, but an easy bonus.

Netflix does not want that bonus and tries its best to keep things off physical media, because they want everyone on their service all the time.
>>
>>155572561
The point is there is no downside to keeping the small group around to make dvd releases unless you think your bottom line is only streaming like Netflix does
Financially you cannot lose. The media already exists and you print in cheap dvds to sell at a premium. It just is not large enough a market anymore to pay off debts.
It is the same why cable is still around even down it is eroding fast in viewership. It is a pure money maker
>>
>>155571519
>>155572558
I would agree with that. Not a single film could release without being considered part of the joke for the 100th anniversary flop.

The other issue is that even in the Zaslav years, no one really considered Warner the same level of dark corporate entity that they considered Disney. That Disney+ simpsons short infamously tried to show Disney as "in on the joke" of how evil the company has become and like everyone pointed out, it was weirdly tamer than the jabs at FOX back in the day.

Even going back, if you remember what the Disney MARVEL buyout looked like, people were fucking terrified of the idea of how it would be managed
>>
>>155562184
The main reason Zionism is even a thing in the US is due to dispensationalist retards. Without these useful idiots, Zios would be fucked in the US.
>>
>>155572618
There is a difference between a company not being hellbent on destroy the physical market like Netflix and another more different into believe they are going to lead the resurgence of said collectors market. Warner already was one of the major players on keep physical releases and didn't move the needle.
>>
>>155573502
The flipside of this. Only 6 years later, after MARVEL became even more popular and people agreed disney's buyout didn't effect too too much.
"Marvel get x-men back" was at the forefront of the Fox buyout
>>
>>155569360

>>
>>155573947
Nobody ever mentioned "resurgence," and it would be foolish to think that DVD/4k sales were about to skyrocket. I merely pointed out that there were 2 options for WB: Netflix buys it and kills all physical media sales because they expressly despise the format or Paramount buys it and continues pumping out product.

One option supports physical media and the other doesn't. It's as simple as that.
>>
>>155561851
I checked their last video and they actually don't, they seem more to have warned calarfaggots that they were going into huge debt for a carrer that has zero future because of the streaming bubble during covid

>every time there's a merger, virtually every single thing currently in production gets shitcanned, because they need a quick tax writeoff bump, and they don't want to bother vetting everything for the new regime's far right agenda.
Judging by WBA recent output that's not really a bad thing, I certainly don't support the Ellisons the stupid jews, however them canceling brain celling trash (TTG) or wokeslop (those Adventure Time spin-offs with dykes) is probably the only good thing that come out of this

Furthermore, with the sole exception of Ben 10, none of the other CN IPs are profitable as Nick's ones so they're for sure getting the short end of the stick
>>
