I think the idea is that they could distribute dividends if they wanted to, but they don't because it would mean less money to reinvest. Also stock buybacks are basically a dividend in the form of capital gains, but with the benefit of deciding when you are going to receive it, or even taking loans against it for tax benefits

That doesn't seem to be correct. Looks like most listed company's have simpler structures.

This aside, your still required to acquire non-voting common stock for control of a company, so it will need to get acquired and paid out to merge or take private even if it doesn't vote on the actual action.
