Moore washed his hands of Miracleman when he found out Dez Skinn outright lied to him that MM was public domain. So long as Marvel never puts his name on any MM trade, he's told them they can do whatever they want with him.

As for why they wanted him in the Marvel Universe? marvel spent a lot Disney's money securing the rights to Miracleman from Mick Angelo thinking it would be their holy grail of evergreen books.... Only for sales to be dismal. Toss in Neil Gaiman having exclusive usage rights to MM until he finished his trilogy and his Me Too scandal, and you have Marvel less wanting their own Doomsday Zclock and more them trying to recoup their investment in an IP that would be a huge lemon.
