It was different enough to warrant a new model number, but maybe shares enough to at least save money on costs. Other sources also mention there were a bunch of changes to the Gustav Karl's frame from the early version seen in Unicorn\NT to the version seen in Hathaway movie. I'm personally inclined to say it's not a Jegan underneath. The HG kit manual says a lighter armored Gustav Karl also exists, but I don't think there's official art of what it looks like. There is a lighter version of the Gustav Karl in the Hathaway's Flash manga, but both that and the heavily armored Gustav Karl look very different to the animated version, and is based off of the old novel illustrations.

Like you said, some parts commonality where things aren't broke and don't need to be fixed would make sense but it can't be too much in common.I also still can't get over how fucking ugly the Unicorn/NT version is. The Hathaway one is just lots of little changes but the overall design is way better for them. The different colours probably helps too.

At most you could say the Gustav Karl has extra thrusters and a backpack sub-arm for the left-side shield.
I think the Gustav Karl, Messer, Xi, and Odysseus/Penelope were just representations of how corrupt and inefficient Anaheim and the Federation had become. They were trying to make a MS that could do everything and take on anything at the same time and it wasn't feasible long term.
