I think it's based on how the Penguin operates. Batman doesn't just kill people. I don't even know the lore, but I'm gonna assume he's a crime boss or some shot caller who rarely directly engages Batman, so Batman has no reason to just punch him in the face, and putting him in prison doesn't really solve anything.

He's been a mob boss, an arms dealer, leader of a fallen family that has had a generations long feud with the waynes. Last major thing I remember happening a few years ago was Penguin fakes his death in a way that implicates batman (so he can basically go start a new life some place else with a clean slate because I guess he thought no one was going to think the penguinnigga might be the penguin). This kicked off a massive arching batman story where it turns out Batman has used his wealth and technology to create a terminator batman that could be deployed in the event that batman went to too far. It would neutralize batman, and then take over as robo-batman. This ends up with batman getting shot across the multiverse (where he meets Adam west batman) trying to find his way home. Then when he gets back its revealed Failsafe (robo-batman), is part of a keikaku because batmans backup personality engineered the whole thing so he could upload himself into the robo-batman to become baterminator. Since then all the batman heat has been on the Absolute series, and I don't think I've heard shit about whats happening with the mainline characters.

Basically batman's backup personality used the opportunity of failsafe being released to try and take over control of batman so he could upload himself into an immortal batman robot. IIRC the ultimate resolution is baterminator beats Jason Todd to death, batman screams at him that he's a murderer, the end of In Brouges happens, then batman reveals that it was a keikaku and jason todd was only a little bit dead, and he gives him the antidote.
