Honestly Ubisoft is too much is a good deal to pass up. They cost about 800 million right now and in order to buy them up they only cost 1 billion which is way cheaper than every other publisher. Not to mention how they've been extremely profitable compared to the other publishers, they make way more than Take two. I doubt that was the reason they delayed since they would have just announced it and they can't talk about it before anyway. It has to be related to the accounting. My guess

Either the auditors have to go back and update the report or Ubisoft is trying to figure out how they are going to tell investors and employees they aren't going to make it. There may be some pledging with auditors to not include it either

Ubisoft's headcount has never been a problem.
Their business model is unique (read: parasitic)
They open up offices in countries that offer fat government subsidies to developers, and as quid pro quo for those subsidies they employ a large number of locals. The reason their payroll is so inflated is because it's necessary to employ all those extra people to extract subsidies from the countries those offices are located in. In practice, they run positive in all of those countries and would lose money by shrinking their labour pools because they make more in subsidy and tax credit by employing them than it costs to pay them.

This is why Ubisoft has offices in like 30 countries ranging from Canada to Communist China. Their business model is being paid by governments to employ people, not in making and selling games. It just so happens that a string of very risky development ventures all flopping coincided that government money suddenly drying up as everyone pinches pennies in an economic downturn.
